Codeium’s last confirmed standalone valuation was $1.25 billion, set when the AI coding startup announced a $150 million Series C in August 2024. The much larger figures that followed including a possible $2.85 billion funding round and a reported $3 billion sale to OpenAI described negotiations, not a new standalone valuation that can still be applied to Codeium today.
The company changed substantially after those reports. Codeium renamed itself Windsurf, lost its founders and members of its research team in a Google licensing and talent transaction, and then agreed to be acquired by Cognition. In June 2026, Cognition introduced Devin Desktop as the next generation of Windsurf.
That timeline changes the answer to the original question. Codeium had real growth signals, but there is no defensible public figure for a current standalone codeium valuation after the business was rebranded and acquired.
Codeium’s Last Confirmed Valuation Was $1.25 Billion

A second figure appeared after Codeium had become Windsurf. In May 2025, Reuters reported that OpenAI had agreed to acquire Windsurf for about $3 billion, citing Bloomberg. Reuters also said the transaction had not closed.

Codeium Became Windsurf Before the Deals Changed the Company
Codeium launched the Windsurf Editor in November 2024 as a more integrated environment for developers working with AI. On April 4, 2025, the company officially renamed itself Windsurf and renamed its original Codeium extensions as Windsurf Plugins.
The product shift was important to the growth story. Codeium had started with autocomplete, chat, and coding assistance inside existing editors. Windsurf placed a larger emphasis on an agentic IDE that could reason across a codebase and take multi-step actions while a developer remained involved. That evolution reflected the broader move from simple code suggestions toward coding agents.
It also means that later reports about Windsurf were reports about the company formerly known as Codeium, not a separate startup with a separate early funding history.
The 2025 Transactions Ended the Standalone Valuation Story
The reported OpenAI acquisition did not become Windsurf’s outcome. In July 2025, Google entered a reported $2.4 billion arrangement for technology licensing and to bring Windsurf co-founder Varun Mohan, co-founder Douglas Chen, and selected research personnel to Google DeepMind.
Days later, Cognition agreed to acquire Windsurf. Reuters reported that the deal covered Windsurf’s intellectual property, product line, brand, business operations, and engineering, product, and go-to-market teams. The purchase price was not disclosed.
Reuters also reported that Windsurf had reached $82 million in annual recurring revenue and served more than 350 enterprise customers. Those figures provide stronger evidence of commercial traction than the original article’s generic claims about demand. They still do not establish a public sale valuation for the Cognition transaction.
The Google payment should not be described as Google buying Windsurf for $2.4 billion. The operating business and remaining assets went to Cognition under a separate agreement.
What Happened to the Product After Cognition’s Acquisition
Cognition initially combined Windsurf’s agentic development environment with Devin, its autonomous software-engineering agent. On June 2, 2026, the company announced that Windsurf was becoming Devin Desktop.
